Terms of Service

1. Introduction
Welcome to IndexGPT, a Shopify App developed and operated by Legendary Index, Lda, located in São Brás de Alportel, Portugal. These Terms of Service (“Terms”) govern your access to and use of the IndexGPT website and application (“the Service”). By installing or using IndexGPT, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Description of the Service
IndexGPT is a Shopify App that helps store owners improve visibility in AI-powered search engines and chat platforms. The App provides AI SEO scoring, automated indexing submissions, llms.txt and schema generation, brand and sentiment analysis, prompt tracking, content generation and related features. The Service is provided “as is”. Search engines and AI platforms are operated by third parties and decide independently what they index, rank, cite or recommend. We do not control those systems and we do not guarantee any particular indexing outcome, ranking, citation, traffic level or commercial result.
3. Eligibility
You must have a valid Shopify account and be at least 18 years old (or of legal age in your jurisdiction) to use IndexGPT. By using the Service, you confirm that you meet these conditions.
4. Acceptance of Terms and Updates
By installing or accessing IndexGPT, you accept these Terms. We may update these Terms periodically. When changes are made, we will post the revised version on our website. Continued use of the Service after changes take effect means you accept the updated Terms.
5. Account and User Responsibilities
You are responsible for maintaining the security of your Shopify account and any credentials used to access IndexGPT. You agree to: Provide accurate and up-to-date information; Comply with all applicable laws and Shopify’s Terms of Service; Not use IndexGPT for any unlawful or unauthorised purpose; Not interfere with or attempt to disrupt the Service or its systems. Any misuse of the Service may result in suspension or termination of your account.
6. Access to Store Data
By installing IndexGPT, you grant permission for the App to access certain data from your Shopify store, including: Store owner details (name, email, store URL); Content, products, collections and online-store data. We never access or process customer data (such as names, emails or orders). Data is handled according to our Privacy Policy, which forms part of these Terms.
7. Subscriptions, Billing and Trials
IndexGPT offers monthly and annual subscription plans through Shopify Billing. All fees are in USD and processed by Shopify. Free trials are available for new users as displayed in the Shopify App Store listing. Subscriptions automatically renew unless cancelled before the renewal date. You can cancel at any time from your Shopify admin panel. Fees are non-refundable except where required by law. We may update our pricing or plan structure at any time. Changes will apply only to future billing cycles.
8. Intellectual Property
All software, features, documentation, design, and branding related to IndexGPT are the exclusive property of Legendary Index, Lda. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. You may not copy, modify, reverse engineer, or distribute any part of the Service without prior written consent.
9. Data Usage and Privacy
We collect and process data as described in our Privacy Policy at indexgpt.app/privacy, which forms part of these Terms. Where we process personal data on your behalf, our Data Processing Agreement at indexgpt.app/dpa applies and sets out our obligations under Article 28 GDPR. A current list of our sub-processors is published at indexgpt.app/sub-processors. We do not use your data to train machine learning models, and we do not permit our sub-processors to do so. You remain responsible for your own compliance with applicable data-protection laws.
10. Integrations and Third-Party Services
IndexGPT connects with external services such as Shopify, Google Analytics and AI platforms. We do not control or guarantee the accuracy, availability or policies of these third-party services. Your use of third-party tools is subject to their own terms and conditions.
10a. AI-Generated Content
Some features generate text, images or structured data using third-party AI systems. Generated output is produced at your request, is made available for your review, and may be inaccurate, incomplete or unsuitable for your store. You are solely responsible for reviewing, editing and approving any output before publishing it, and for ensuring that what you publish is accurate, lawful, non-infringing and appropriate for your business. We make no warranty as to the accuracy, originality or fitness of generated output, and we are not liable for content you choose to publish.
10b. Acceptable Use
You agree not to: use the Service to generate or publish unlawful, deceptive, defamatory or infringing content; use it to misrepresent products, prices or availability; attempt to gain unauthorised access to the Service or its underlying systems; circumvent usage limits, rate limits or credit allocations; resell, sublicense or provide the Service to third parties as a service of your own; or use automated means to extract data from the Service other than through functionality we provide. We may suspend access immediately where we reasonably believe this section has been breached.
11. Service Availability and Modifications
We aim to provide a reliable service, but we do not commit to any specific uptime or service level unless separately agreed in writing. Availability may be affected by maintenance, updates, third-party providers or circumstances beyond our control. We may modify, suspend or discontinue any feature at any time; where a change materially reduces core functionality of a paid plan, we will give reasonable notice. Some features depend on third-party providers, and may change or become unavailable if a provider changes its terms, pricing or availability. We are not liable for any loss or damage resulting from downtime, errors, modifications or third-party changes.
12. Limitation of Liability
To the fullest extent permitted by law, Legendary Index, Lda, its affiliates and team members shall not be liable for: Indirect, incidental, consequential or punitive damages; Loss of profits, data or goodwill; Any claim exceeding the total amount paid by you for the Service during the 12 months preceding the claim. Some jurisdictions do not allow limitations on certain liabilities, so parts of this clause may not apply in those cases.
13. Indemnification
You agree to indemnify and hold harmless Legendary Index, Lda, IndexGPT, and their affiliates from any claims, damages, losses or expenses arising out of your use of the Service, violation of these Terms, or infringement of third-party rights.
14. Termination
We may suspend or terminate your access to the Service at any time if you violate these Terms or engage in behaviour that harms other users or our systems. Upon termination, your right to use IndexGPT ends immediately. Data related to your store will be deleted or anonymised as described in our Privacy Policy.
15. Disclaimer
The Service is provided “as is” and “as available”. We make no warranties or representations regarding performance, compatibility or fitness for a particular purpose. You use IndexGPT at your own risk.
15a. Force Majeure
We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labour disputes, governmental action, internet or telecommunications failures, power outages, cyber attacks, or the failure, suspension or discontinuation of a third-party service on which the Service depends.
15b. Assignment, Severability and Entire Agreement
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition or sale of assets. If any provision is held invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver of that right. These Terms, together with our Privacy Policy and, where applicable, our Data Processing Agreement, constitute the entire agreement between you and us regarding the Service and supersede any prior understanding.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of Portugal and the European Union. Any dispute or claim will be subject to the exclusive jurisdiction of the courts located in Portugal.
